Terms of Service

1. Acceptance of Terms

Welcome to Hubidx (“Hubidx,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the Hubidx platform, including our website at hubidx.com, mobile applications, and related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. What Hubidx Is

Hubidx is a digital marketplace that connects homeowners (“Clients”) with construction contractors (“Service Providers”) in Texas. We facilitate:

  • Project posting and contractor discovery
  • Legally binding service agreements between parties
  • Escrow payment services through licensed providers
  • Communication tools between Clients and Service Providers
  • Dispute resolution mediation

Hubidx is not a construction company. We do not perform construction work. We are a platform that facilitates connections between independent parties.

3. Eligibility

To use the Service, you must:

  • Be at least 18 years old
  • Be a legal resident of the United States
  • Have the legal authority to enter into binding contracts
  • Comply with all applicable laws and regulations

If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

4. Account Registration

You must create an account to use most features of the Service. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your password and account
  • Promptly update your information if it changes
  • Be responsible for all activities under your account
  • Notify Hubidx immediately of any unauthorized use

5. Contractor Verification

Service Providers must accurately represent their:

  • Legal business entity status
  • Contractor license information (where applicable)
  • Insurance coverage
  • Experience and qualifications
  • Service capabilities

Hubidx may verify any information at our discretion. False information is grounds for immediate account termination.

6. Project Posting (Clients)

When posting a project, you agree that:

  • The project description is accurate and complete
  • You have legal authority over the property where work will occur
  • You intend in good faith to hire a contractor for the work
  • You will not post duplicate or fraudulent projects

7. Proposals (Service Providers)

When submitting a proposal, you agree that:

  • You are qualified and legally able to perform the work
  • The proposed price and timeline are accurate
  • You will honor your proposal if accepted
  • You maintain valid licensing and insurance for the work scope

8. Service Agreements (Contracts)

When a proposal is accepted, Hubidx generates a legally binding Service Agreement between the Client and Service Provider. Both parties must electronically sign the agreement before work begins.

Electronic signatures are legally binding under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act). You consent to receive notices and conduct business electronically.

9. Payments and Escrow

All payments must flow through Hubidx's escrow services. The parties agree:

  • Client deposits 40% material payment upon contract signing
  • Funds are held in escrow until work conditions are met
  • Final 60% is released upon Client confirmation of completion
  • Hubidx charges a platform fee (typically 8-12% of project value)
  • Off-platform payments violate these Terms and void Hubidx protection

10. Fees

Hubidx charges a platform fee on each transaction. Fees are:

  • Disclosed before contract signing
  • Included in the total project cost shown to the Client
  • Non-refundable once the contract is signed (except as required by law)

11. Reviews

Clients may leave reviews of Service Providers after project completion. Reviews must be:

  • Truthful and based on personal experience
  • Free of profanity, threats, or harassment
  • Not paid for or incentivized
  • Not contain personal information of others

Hubidx may remove reviews that violate these guidelines.

12. Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose
  • Misrepresent yourself or your business
  • Circumvent the platform to avoid fees (“off-platform” transactions)
  • Solicit users for competing services
  • Post discriminatory, harassing, or harmful content
  • Attempt to hack, reverse engineer, or disrupt the Service
  • Use automated tools to scrape data
  • Create multiple accounts to manipulate ratings or reviews

13. Disputes Between Users

Hubidx provides dispute resolution services. In the event of a dispute:

  1. Parties should first attempt to resolve directly through the platform
  2. If unresolved, either party may request Hubidx mediation
  3. Hubidx may, at its discretion, release funds, hold funds, or refund payments based on evidence
  4. Disputes not resolved through Hubidx mediation are subject to binding arbitration in Texas

14. Account Termination

Hubidx may suspend or terminate your account at any time for violation of these Terms, including:

  • Fraudulent activity
  • Off-platform circumvention
  • Misrepresentation of credentials
  • Harassment of other users
  • Repeated low ratings or complaints

You may close your account at any time through Settings. Active contracts must be completed before account closure.

15. Disclaimers

Hubidx is provided “as is” without warranties of any kind. We do not warrant that:

  • The Service will be uninterrupted or error-free
  • Any contractor will perform satisfactorily
  • Any project will be completed on time or within budget

We are not responsible for the quality of work performed by Service Providers. While we verify credentials, ultimate responsibility for hiring decisions rests with Clients.

16. Limitation of Liability

To the maximum extent permitted by law, Hubidx's liability is limited to the fees paid by you to Hubidx in the 12 months preceding the claim. We are not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits or business opportunities
  • Damages caused by Service Providers
  • Damages caused by force majeure events

17. Indemnification

You agree to indemnify and hold Hubidx harmless from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of others
  • Your interactions with other users

18. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Collin County, Texas.

19. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or platform notification. Continued use of the Service after changes constitutes acceptance.
